GAINESVILLE COINS SPOT PRICE PREDICTION RULES

OFFICIAL RULES

1. Eligibility: Except where prohibited by law, the Gainesville Coins Spot Price Prediction contests (the “Contests”) are open only to legal residents of the 50 United States and the District of Columbia who: (a) are 18 years of age or older as of the time of entry and located within the 50 United States and the District of Columbia at the time of entry, and (b) have a valid and working email address during the applicable Entry Window (defined below). Employees, contractors, directors, and officers, and their immediate family members (parents, children, siblings or spouse, regardless of where they live, or persons living in same household, whether related or not) of the sponsor, Gainesville Coins, LLC (“Sponsor”), its subsidiaries, affiliates, suppliers, consultants, legal counsel, accounting firms, public relations, sales representatives, webmasters, advertising and promotional, and marketing agencies, and any others engaged in the development, production, execution or distribution of these Contests (collectively, “Ineligible Persons”) are not eligible to enter or win. Each Contest is subject to all applicable federal, state, municipal, and local laws and regulations.
   
   
2. Registration and Entry Window. The “Entry Window” for each Contest opens every weekday (excluding federal holidays) at 11:00 a.m. U.S. Eastern Time (“ET”) and closes at 11:00 p.m. ET the same day. Contests will be held commencing February 16, 2022 and ending on December 31, 2022, subject to the Sponsor’s determination, in its sole discretion, to (i) continue holding additional Contests or (ii) cease holding additional Contests at any time for any reason. During each Entry Window, you may complete the “Registration Form” and submit your prediction (the “Spot Prediction”) for the spot price (U.S. dollars) of one troy ounce of gold, based on the 10:30 a.m. (London Time) London Gold Fix price as determined by the London Bullion Market Association and its member banks (the “Gold Spot Price”), on the business day that is exactly one week after the date you make your Spot Prediction (the “Gold Result Date”), as determined by the Sponsor in its sole discretion.
   
   
3. How to Enter. NO PURCHASE IS NECESSARY TO ENTER ANY CONTEST. To enter a Contest, Entrants must complete the following registration process.
   
   
   1. Registration Form. Each Entrant must visit the gold spot price page on Gainesville Coins website, available at https://www.gainesvillecoins.com/spot-prediction/gold and complete the Registration Form. To complete the Registration Form, each Entrant will be required to select a username and provide his/her first name, last name and email address, which Entrant acknowledges shall be considered Entrant's contact information for purposes of the Contests. A potential winner may be required to provide proof that he/she is the person set forth on the Registration Form, which shall be determined in Sponsor's sole discretion. By entering into a Contest, Entrant gives Sponsor permission to send promotional or commercial emails about products, services and special offers to Entrant. Entrant may opt out of receiving such emails at any time by clicking the unsubscribe link.
      
      
   2. Making Predictions: Once Entrants have completed the Registration Form, Entrants may make their Spot Prediction for the applicable Contest (each, a “Contest Entry”) on the website. Only one (1) Contest Entry is permitted per Entrant per day.
      
      
   THERE IS A LIMIT OF A MAXIMUM OF ONE CONTEST ENTRY PER ENTRANT PER DAY. Any attempt by any Entrant to submit more than one Contest Entry in respect of any particular Contest (e.g. by creating or submitting additional entries from multiple e-mail addresses) will void all Contest Entries by that Entrant and disqualify him/her from the applicable Contest. The submission of a Contest Entry is solely the responsibility of the Entrant. Contest Entries may only be made according to the methods described above. Automated Contest Entries (including, but not limited to, Contest Entries submitted using any bot, script, macro, hack, or submission service), copies, third-party Contest Entries, facsimiles and/or mechanical reproductions are not permitted, will be null and void, and any Entrant attempting to automate Contest Entries will be disqualified from the particular Contest. Unintelligible or incomplete Contest Entries will be null and void and are not eligible as a Contest Entry into a Contest. By entering into any Contest, Entrants acknowledge that the Ineligible Persons do not warrant or represent that the Contest will be completely error or fraud free or that the Contest will run without interruption, malfunction or technological issue. Ineligible Persons are not responsible for misdirected, incomplete, lost, late, undelivered, inaccurate or delayed Contest Entries, or Contest Entries otherwise not recorded by servers, or for technical, hardware, or software failures of any kind, lost or unavailable network connections, or failed, incomplete, garbled or delayed computer transmissions or other errors or problems which may limit or affect a person's ability to participate in a Contest, whether human, mechanical, typographical, printing, fraudulent, electronic, network or otherwise, relating to or in connection with a Contest, including, without limitation, errors that may occur in connection with the administration of a Contest, the processing of Contest Entries, the announcement of winners or fulfillment of prize awards, or in any Contest-related materials. Fraudulent, unfair, unsportsmanlike, false or deceptive Contest Entries or acts will render the applicable Entrant ineligible. All Contest Entries become the property of Sponsor, and none will be acknowledged or returned. Notwithstanding any of the foregoing, Ineligible Persons’ failure to detect fraud and/or invalidate Contest Entries as set forth herein, shall not constitute a breach of these Official Rules, or unfair or deceptive practice and/or violation of any Entrant's rights. Sponsor reserves the right to modify the entry process as described herein in its sole discretion and notice will be posted on the Sponsor’s website reflecting the same.
   
   
4. Winner Selection. The Entrant whose Contest Entry is the closest to the Gold Spot Price on the Gold Result Date for the particular Contest (the “Daily Winner”) will win the Daily Prize (as defined below). If multiple Entrants submit the same Contest Entry for a particular Contest, and such Contest Entry is determined to be the closest to the Gold Spot Price, then the Entrant who submitted his/her Contest Entry first (as determined by the Sponsor in its sole discretion) will be the Daily Winner. On each Gold Result Date, one or more employees or representatives of the Sponsor will determine if there is a Daily Winner from the qualifying Contest Entries received from qualifying Entrants during the applicable Entry Window in accordance with these Official Rules.
   
   
5. Daily Winner Prizes. Each Daily Winner will be awarded a 1 oz Silver Round, the design of which will be determined by the Sponsor in its sole discretion (the “Daily Prize”).
   
   
6. Winner Notification and Verification. Receiving a Daily Prize is contingent upon compliance with these Official Rules, including all eligibility requirements. The potential winners will be notified within fifteen (15) days after the winner determination on the Gold Result Date. The potential winners will be notified by email using the email address provided in the Entrant's Registration Form. Such notification will be deemed delivered on the date it is sent. Sponsor is not responsible if unable to contact a potential winner for prize notification purposes for whatever reason, including Entrant's failure to provide a correct email address at the time of submission of the Registration Form. Within fifteen (15) days after receiving notification of winning, a potential winner must execute and return to Sponsor an Affidavit of Eligibility/Release of Liability and/or Publicity Release (unless prohibited by law). Disqualification of a potential winner may result from any of the following: (a) potential winner's inability or refusal to accept the Daily Prize; (b) the inability of Sponsor to contact the potential winner for any reason; (c) failure of the potential winner to return the completed and executed Affidavit of Eligibility/Release of Liability/Publicity Release within fifteen (15) days after notification of winning; or (d) any other non-compliance with these Official Rules, as determined by Sponsor in its sole discretion. If the potential winner for any Contest is disqualified, the Daily Winner for such Contest will be the Entrant, if any, who is not disqualified and whose Contest Entry is the closest to the Gold Spot Price without considering the Contest Entry(ies) of the disqualified Entrant(s). PLEASE NOTE THAT EVEN IF YOUR CONTEST ENTRY IS LISTED AS A POTENTIAL WINNER AT THE CLOSE OF A PARTICULAR CONTEST, YOU HAVE NOT YET WON A PRIZE. EACH POTENTIAL WINNER IS SUBJECT TO VERIFICATION BY SPONSOR, AND MUST MEET ALL ELIGIBILITY REQUIREMENTS AND THE TERMS OF THESE OFFICIAL RULES BEFORE AN ENTRANT WILL BE CONFIRMED AS A WINNER AND AWARDED A PRIZE.
   
   
7. Prize Delivery, Taxes. Within thirty (30) days after verification of a Daily Winner's identity and eligibility to win a Daily Prize, Sponsor or its representative will contact the Daily Winner to coordinate and make appropriate arrangements for the delivery of the Daily Prize to the Daily Winner. The Daily Winner is solely responsible for paying any and all federal, state and local taxes on receipt and acceptance of the Daily Prize.
8. Conditions, Disclaimers, and License. By entering a Contest, each Entrant agrees that: (a) he or she will abide by and be bound by these Official Rules; (b) each Contest Entry and/or Spot Prediction, including any comments submitted, becomes solely the Sponsor’s property and will not be acknowledged or returned; (c) neither Sponsor nor Ineligible Persons are responsible for claims, injuries, death, losses or damages of any kind resulting from participation or inability to participate in a Contest, or the administration of the Contests, or the awarding, acceptance, use, misuse, possession, loss or misdirection of a Daily Prize or registration information; (d) Sponsor and Ineligible Persons are not responsible for any inability or refusal of a winner to accept a Daily Prize for any reason; and (e) by entering into a Contest, all Entrants further agree that Sponsor and Ineligible Persons have the sole right to decide all matters relating to the particular Contest, including fact, interpretation, eligibility, procedure, fulfillment, and disputes from such Contest. All Entrants agree to look solely to Sponsor for any claims or liabilities with respect to each Contest, including the development, execution and administration thereof.
   
   
9. Release of Liability. Although Sponsor and Ineligible Persons attempt to ensure the integrity of each Contest, neither Sponsor nor any of the Ineligible Persons are responsible for, nor can they control or prevent with 100% accuracy, the actions of Entrants or other individuals in connection with any particular Contest, including attempts by Entrants or other individuals to circumvent these Official Rules or otherwise interfere with the administration, security, fairness, integrity or proper conduct of a Contest, or for any technological malfunctions with regard to a Contest, including but not limited to any loss or corruption of any registration information, and all Entrants release Ineligible Persons from any and all liability, claims, or damages relating thereto. If, for any reason, a Contest is not capable of running as planned by reason of damage by acts of God, sabotage, terrorism or threats thereof, computer virus, worms, bugs, tampering, unauthorized intervention, fraud, technical limitations or failures, strikes, industry conditions, bankruptcy or liquidation, marketplace demands, applicable law, unforeseen obstacles, epidemics, pandemics, supply shortages or any other causes which, in the sole discretion of Sponsor, could corrupt, compromise, undermine, or otherwise affect the administration, security, fairness, integrity, viability, or proper conduct of any Contest, Sponsor and Ineligible Persons reserves the right in their sole and absolute discretion to modify these Official Rules, and/or to cancel, terminate, modify or suspend all or any part of any Contest, and in the event of cancellation or termination, to elect to select Daily Winners from among all eligible non-suspect Contest Entries received up to the time of such cancellation, termination, modification, or suspension, as applicable and all Entrants hereby release Ineligible Persons for any claims relating thereto. Notice of such cancellation, termination, modification, or suspension will be posted on the website. Sponsor will prohibit any Entrant or potential Entrant from participating in a Contest if such Entrant or potential Entrant shows a disregard for these Official Rules, acts with an intent to annoy, abuse, threaten, or harass any other Entrant, Sponsor, or Ineligible Persons or behaves in any other or disruptive or fraudulent manner (as determined by Sponsor in its sole discretion). Sponsor will disqualify any individual found to be: (a) tampering or attempting to tamper with the entry process or the operation of any Contest, the websites, or the Registration Form; (b) violating the Official Rules; or (c) acting in a fraudulent, misleading, deceptive, unfair, unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person.
   
   The Official Rules will be posted on the website until the Sponsor determines in its sole discretion to cease conducting additional Contests, in which case the Official Rules will be posted on the website until the termination of the then-active Contests. By entering and participating in a Contest, each Entrant represents and warrants that all information provided by Entrant in such Contest, including on the Registration Form and/or Contest entry is true, accurate and complete. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF A CONTEST IS A VIOLATION OF THESE OFFICIAL RULES, AS WELL AS CRIMINAL AND CIVIL LAWS. SHOULD SPONSOR BELIEVE OR BECOME AWARE THAT SUCH AN ATTEMPT HAS BEEN, IS BEING, OR WILL BE MADE, SPONSOR AND INELIGIBLE PERSONS RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES FROM ANY RESPONSIBLE ENTRANT(S) AND OTHER RESPONSIBLE INDIVIDUAL(S) IN THE ATTEMPTED DAMAGE TO THE FULLEST EXTENT PERMITTED BY LAW.
   
   
10. Limitations on Liability. The Ineligible Persons shall not be liable to any Entrant, potential winner, Daily Winner or any other person for failure to supply the Daily Prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, fraud or attempted fraud, mistakes, data loss, data corruption, technological or human error or malfunction, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, epidemic, pandemic, supply shortages or any other cause beyond Sponsor’s sole control.
    
    
11. Release and Indemnification. BY ENTERING A CONTEST, ENTRANTS RELEASE AND HOLD SPONSOR AND INELIGIBLE PERSONS HARMLESS FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, RIGHTS, CLAIMS, AND ACTIONS OF ANY KIND ARISING IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, FROM SUCH CONTEST OR PARTICIPATION IN ANY CONTEST-RELATED ACTIVITY, INCLUDING WITHOUT LIMITATION, ACCESS TO ANY MATERIALS, ANY FRAUD OR ATTEMPTED FRAUD, MISTAKE, DATA LOSS, DATA CORRUPTION, TECHNOLOGICAL OR HUMAN ERROR OR MALFUNCTIONS, OR RESULTING DIRECTLY OR INDIRECTLY, FROM ADMINISTRATION OF SUCH CONTEST, ACCEPTANCE, POSSESSION, USE OR MISUSE OF ANY PRIZE AWARDED IN CONNECTION WITH SUCH CONTEST, INCLUDING WITHOUT LIMITATION, PERSONAL INJURY, DEATH, AND/OR PROPERTY DAMAGE, AS WELL AS CLAIMS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY.
    
    
12. Miscellaneous.
    1. Publicity Release: Except where prohibited, by accepting a Daily Prize, each Daily Winner grants permission for the Sponsor, its parent, subsidiaries, affiliates, licensees, successors, and assigns, and those acting under their authority to use his/her name, username, biographical information, voice, image and/or likeness, (collectively, the Daily Winner’s “Publicity”) throughout the world in all media now known or hereafter existing (including print, packaging, television, radio, film, digital, internet, social media, websites, and mobile apps) in perpetuity for advertising, marketing, merchandising, publicity, and/or promotion of Sponsor, the Contest, other Sponsor promotions or Contests, and the products associated with the Contest and for all their internal business purposes without further compensation or right of approval.
       
       
    2. Applicable Law/Disputes. Except where prohibited, as a condition of participating in any Contest, each Entrant agrees that any and all disputes which cannot be resolved between the parties, claims and causes of action arising out of or connected with any Contest, or any Daily Prize awarded, or the determination of winners, shall be resolved individually, without resort to any form of class action. Further, in any such dispute, under no circumstances will an Entrant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental or consequential damages, or any other damages, including attorneys’ fees. Entrant further waives all rights to have damages multiplied or increased. All issues and questions, rights, and obligations of an Entrant in connection with any Contest shall be governed by, and construed in accordance with the laws of the State of Florida, without giving effect to the conflict of laws rules thereof and any matters or proceedings which are not subject to arbitration as set forth in these Official Rules and/or for entering any judgment on an arbitration award, shall take place in Tampa, Florida. The parties waive rights to trial by jury in any action or proceeding instituted in connection with these Official Rules and/or any Contest. Any controversy or claim arising out of or relating to these Official Rules and/or any Contest shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association (“AAA”). Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Tampa, Florida, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. In the event that the claimant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of the claimant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive. THE ARBITRATION OF DISPUTES PURSUANT TO THIS PARAGRAPH SHALL BE IN THE ENTRANT’S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN THE CLAIMS OF OTHER PERSONS OR PARTIES WHO MAY BE SIMILARLY SITUATED. DO NOT ENTER A CONTEST IF YOU DO NOT AGREE TO HAVE ANY CLAIM OR CONTROVERSY ARBITRATED IN ACCORDANCE WITH THESE OFFICIAL RULES.
       
       
    BY PARTICIPATING IN A CONTEST, EACH ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH A CONTEST, OR ANY PRIZE AWARDED, WILL BE RESOLVED INDIVIDUALLY THROUGH BINDING ARBITRATION AS SET FORTH ABOVE, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; (3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED; AND (4) ENTRANT’S REMEDIES ARE LIMITED TO A CLAIM FOR MONEY DAMAGES (IF ANY) AND ENTRANT IRREVOCABLY WAIVES ANY RIGHT TO SEEK INJUNCTIVE OR EQUITABLE RELIEF.
    
    
13. Official Rules. By participating in a Contest, each Entrant fully and unconditionally agrees to and accepts these Official Rules and decisions of the Sponsor, which are final and binding in all matters relating to such Contest. The Contests will be run in accordance with the Official Rules, subject to amendment by Sponsor. Each Entrant must comply with the Official Rules and will be deemed to have received and understood the Official Rules by participating in a Contest. The terms of the Contest, as set out in the Official Rules, are not subject to amendment or counteroffer, unless determined by Sponsor in its sole discretion. If any provisions of the Official Rules are held to be invalid or unenforceable, all remaining provisions hereof will remain in full force and effect. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision.
    
    
14. Winners’ List; Leaderboard. The list of winners will be posted on the Gainesville Coins website. Additionally, a leaderboard will be posted on the website in a form determined by the Sponsor in its sole discretion, which is expected to include the usernames of the Entrants with the highest number of correct Spot Predictions.
